SUBJECT:APPROVAL OF AMENDMENT NO. 2 OF CONTRACT NO.
C8101269 WITH UTILITY CONSTRUCTORS FOR PROVIDING
OVERHEAD CONSTRUCTION SERVICES
RECOMMENDATION
Staff recommends that Council approve and authorize the Mayor to execute the attached
amendment to contract C8101269 with Utility Constructors, to extend the performance
period through February 1999 and increase the contract amount by $373,872 for a total
contract price of $747,744.
DISCUSSION
In February 1998, the City entered into a contract with Utility Constructors, in the amount
of $313,872 for providing overhead construction services on the City’s overhead electric
transmission and distribution system (CMR: 129:97). The contractor was asked to provide
an overhead crew to be used full time by the City’s Electric Operations for a period of six
months, subject to renewal for another six months. The contractor services mainly include:
replacement of deteriorated poles on the overhead electrical system, replacement of
transformers, air switches, connectors, insulators, conductors, and other miscellaneous
equipment. In May 1998, the City issued Amendment no.1 to contract C8101269
(CMR:227:98), to increase the contract amount by $60,000 for a total contract price of
$373,872. The additional funding was for performing additional overhead maintenance work
required on the electric system to remove General Order 95 infractions.
Utility Constructors was selected because of its recent experience with related projects,
understanding of the scope of services to be provided, ability to start on the scheduled time,
and the foreman’s qualifications and experience. Utility Constructors has been working
under that contract and has performed in an outstanding manner.
The existing contract allows the City and Utility Constructors to extend the contract an

additional six months through February 1999, subject to the City of Palo Alto City Council’s
approval: Utility Constructors has agreed to hold its rates and extend the contract under the
same terms and conditions for another six months. Utility Constructors has agreed to hold

RESOURCE IMPACT
This amendment will increase the contractamount by $373,872 for a total amount price of
Funds for this project are included in the FY 1998-99 Electric Capital Improvement Program
Budget and Distribution Operation and Maintenance Budget.
POLICY IMPLICATIONS
This report does not represent any change to existing City policies.
ENVIRONMENTAL REVIEW
Categorically exempt from California Environmental Quality Act (CEQA).

UTILITY CONSTRUCTORS
This Amendment No.2 to Contract No. C8101269
("Contract")-is entered into , by and between the
CITY OF PALO ALTO, a chartered city and a municipal corporation of
the State of California ("CITY"), and UTILITY CONSTRUCTORS, a
Partnership, located at 7039 Ceres Street, Suite 15, Redding,
California 96002 ("Contractor").
RE C I TAL S:
WHEREAS, the Contract was entered into between the
parties for the provision of providing overhead construction
services; and
WHEREAS, the parties wish to amend the Contract;
NOW, THEREFORE, in consideration of the covenants, terms,
conditions, and provisions of this Amendment, the parties agree:

SECTION I.Section 1 is hereby amended to read as
"i.I This Contract will commence on the date of its
execution by CITY and will extend to February 28, 1999. The
obligation of CONTRACTOR to perform the Services will commence in
accordance with the time schedule set forth in Exhibit "A". Time
is of the essence of this Contract. In the event that the Services
are not completed within the specified time schedule on account of
CONTRACTOR’s default, CITY’s city manager will have the option of
extending the time schedule for any period of time. This provision
will not preclude the recovery of damages for delay caused by
CONTRACTOR."

Section 4 is hereby amended to read as
"4.1 In consideration of the full performance of the
Services by CONTRACTOR, CITY will pay CONTRACTOR a total sum not to
exceed Seven Hundred Forty Seven Thousand Seven Hundred Forty-Four
Dollars ($747,744) payable within thirty (30) days of submission by
CONTRACTOR of its itemized billings, in triplicate, in accordance
with the following fee schedule set forth in Exhibit "B". Payment
of the services will be made in monthly progress payments in
proportion to the quantum of services performed, as set forth in
Exhibit ~A".

SECTION 3. Except as herein modified, all other
provisions of the Contract, including any exhibits and subsequent
amendments thereto, shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have by their duly
authorized representatives executed this Amendment on the date
first above written.
