SUBJECT:ANNUAL PUBLIC REVIEW OF~ COMPLIANCE OF
DEVELOPMENT AGREEMENT WITH PALO ALTO
MEDICAL FOUNDATION FOR THE AREA AROUND 300
HOMER AVENUE
RECOMMENDATION
Staff recommends that the City Council:
1.Find that the Palo Alto Medical Foundation (PAMF) has complied in good faith with ¯
the terms and conditions of the Agreement as amended; and
2.Direct staff to issue a Certificate of Compliance to PAMF, according to the provision
of Section 9(f) of the Agreement, stating that:
a.The Agreement remains in effect, and
b.PAMF is not in default.
BACKGROUND
In July 1991, the City Council approved Comprehensive Plan amendments and a Specific
Plan goveming the proposed expansion of PAMF facilities in the downtown area around 300
Homer Avenue. A Development Agreement vesting these approvals was entered into
between PAMF and the City and was recorded November 4, 1991. The Agreement requires
annual review of PAMF’s compliance.
PAMF subsequently sought and obtained City approvals for an alternate campus on Urban
Lane. A First Amendment to the Development Agreement for the downtown site was
recorded on May 1, 1996, that generally suspended PAMF’s rights for development, required

its participation in developing a PAMF/SOFA plan and limited demolition while"requidng
maintenance of the downtown, buildings and sites.
DISCUSSION
The attached letter dated February 3, 1998, from Robert W. Jamplis, President and Chief
Executive Officer of PAMF, describes the activities of PAMF relating to the Development
Agreement with the City of Palo Alto for development of the existing PAMF properties in
the vicinity of 300 Homer Street. These activities focused on approval of the design and
construction of the new facility in the Urban Lane Area off E1 Camino Real.
City staff finds that PAMF is in compliance with the Agreement and issuance of the
Certificate of Compliance is recommended.
RESOURCES IMPACT
None.
POLICY IMPLICATION
This report does not represent any change to existing City policies.
ENVIRONMENTAL REVIEW
Issuance of the Certificate of Compliance is not a project under
Environmental Assessment is required.

Periodic Compliance Review for the Palo Alto Medical
Foundation Development Agreement
Dear Mr. Schreiber:
This report is provided pursuant to Paragraph 9 (a) of the Development
Agreement between Palo Alto Medical Foundation and the City. As you are aware,
planning and construction activities to implement the Development Agreement are
currently in suspension while the Foundation pursues acquisition and development of an
alternative site for its new heathcare facility. The City has granted certain legislative and
administrative development approvals for the new site.
As a result, the Foundation and the City have entered into the First Amendment to
Development Agreement, effective as of March 14, 1996, pursuant to which all
implementation of the Development Agreement has been suspended. In this set of
circumstances, the Foundation is not in a position to consider further activities pursuant to
the Development Agreement.
We request that the City issue a Certificate of Good Faith Compliance in
accordance with Section 9 of the Development Agreement for the annual period ending
October 29, 1997. If you require any additional information in connection with this annual
review, please do not hesitate to contact me.
