Special Meeting of the Council of the City of Palo Alto met on this
date at 8:00 p.m. with Mayor Dias presiding.
Present: Arnold, Beahrs, Berwald, Comstock (arrived
8:40 p. m.), Cooley, Dias, Gallagher, Pearson
(arrived 8: 10 p. m,), Spaeth, Wheatley

Report of Hospital Negotiating

Mayor Dias informed all those present that the Special Meeting
was called on instruction of the Council for further discussion
of negotiations on the hospital} and no other subject will be dis-
cussed.
Manor Dias reported a letter in answer to Coun'eil action of May 13
has been received from Dr. Wallace Sterling, President of
Stanford University. She also acknowledged other letters received
which were reproduced and sent to each member of the Council.
At this time Councilman Gailagher stated he would not take part in
the discussion or vote. He left the Council Chambers at 8:05 p.m
and did not return.
At the request of Mayor Dias, City Manager Morgan summarized
the letter from Dr. Sterling. He read each of the five amendments
proposed by Council and answer to each by the Board of Trustees.

MOTION: Vice Mayor Arnold moved, seconded by Beahrs, that,
the Council accept the offer of Stanford University attached to
President Sterling's letter to Mayor Dias dated May 22, 1968,
relati:gig to the Palo Alto -Stanford Hospital Center agreement; and
that the Mayor be authorized to execute on behalf of the City, after
approval by the City Attorney,. and following the approval of a lease
by the City covering the property encurnbered by, Electric Substatio
"E",, a formal agreement setting forth the substance .of the proposal
contained in the aforementioned attachment; and that the Mayor be
further authorized to execute any and all documents necessary to
perform the City's obligations under said agreement,
AMENDMENT: Councilman Berwald moved, seconded by Pearson,
to amend that paragraph of the agreement - (2) Hospital. Board -
by changing the last sentence from "and shall include °" to
read "and its membership shall be a minimum of one-third
residents of Palo Alto, °'

Discussion followed on the text of Dr. Glaser's statements made
at the Council meeting of May 13, 1968 regarding this matter.
The amendment was defeated by a majority voice vote.
Council members discussed arbitration, the teaching patient, and
clinical faculty with staff answering questions. After further
discussion regarding the teaching patient, Mayor Dias asked
Dr. Glaser to give Councilman Comstock further information.
Dr. Glaser explained the general policy covering the teaching patient
and pointed out this should -not be implied to be a second class
see'vice, when, in fact, it is the best possible care.
M. H. Schwartz, M. D. stated he had been in the Pediatrics
Department for eight years and explained the status of the teaching
patient in relation to the department.
Discussion followed on incorporating into the agreement some of
the remarks from the text of Dr. Maser's presentation. The
Chair pointed out that the document presented with Dr. Sterling's
letter was that of t.ie Board of Trustees to approve or not approve,
and they have already taken into consideration the thoughts and
writings of Dr. Glaser.
Mayor Dias asked if any Councilman wished to ask questions at
this time. There were no questions. She then asked if anyone
in the audience, without going over previously reviewed matters,
would like to make a statement at this time. No one came up to
speak. Councilmen were asked if they would like to make a sum-
mation.
Councilman *..3eahrs spoke in favor of the agreement.
Councilman Cooley spoke in favor of the agreement and commented
on the many hours of consideration. He thanked citizens for their
letters and suggestions.
Councilman Spaeth reviewed the concerns involved, noted that the
Council offer has been accepted, and expressed favor of the agree-
ment.
Councilman Pearson spoke in favor of putting the matter to ballot.
AMENDMENT: Councilman Comstock moved, seconded by
Pearson, that the action taken this evening regarding the Stanford
response be voted on as directive to City staff to prepare the
necessary contracts for presentation to Council and that these
contracts be placed on the agenda of a regular Council meeting.
The amendment failed on the following rill call vote:
Ayes: Berwalei, Comstock, Pearson
Noes: Arnold, Beahr$, Cooley, Dias, Spaeth, Wheatley

Mayor Dias asked if anyone wished to speak.
Councilman Comstock spoke of the change that would be effected
in medical care by the Council's decision, and expressed favor
of the agreement.
Vice Mayor Arnold spoke in favor of the agreement and complimented
all who had participated in the deliberations.
Councilman Berwald spoke of the mutual trust and respect of the
two parties and in favor of the agreement.
Mayor Dias stated she agreed with Councilman Comstock that this
is a whole new vista of medical care which she looks forward
to with a great deal of enthusiasm and joins with the previous
speakers in approval of the agreement.
VOTE ON MAIN MOTION: The main motion passed on the following
roll call vote:
Ayes: Arnold, Beahrs, Berwald, Comstock, Cooley, Dias,
Spaeth, Wheatley
Noes: Pearson
MOTION: Councilman Pearson moved that prior to signing of the
final contract the City Council submit to the voters the question
of the proposed sale of the hospital to Stanford.
The motion died for lack of a second.
Adjournment
There being no further business, the Council meeting adjourned
at 10:10 p. rn.
