RESOLUTION OF THE COUNCIL OF THE CITY OF PALO ALTO
APPROVING AN URBAN MASS TRANSPORTATION DEMONSTRATION
GRANT CONTRACT BETWEEN THE SAN JOSE-PALO ALTO TRANSIT
AUTHORITY AND THE UNITED STATES OF AMERICA
The Council of the City of Palo Alto does RESOLVE as fol-
WHEREAS, the Cities of Palo Alto and San Jose have hereto-
fore on July 28, 1971, entered into an agreement entitled
"Joint Exercise of Powers Agreement Between City of San Jose
and City of Palo Alto ~or Mass Transportation Demonstration
Program" (hereinafter called "agreement"), wherein a public
entity known as the San Jose-Palo Alto Transit Authority (herein-
after called "Authority"), separate from the City of San Jose and
the City of Palo Alto, was created pursuant to Chapter 5 of
Division 7 of Title I of the Government Code of the State of
California. (Sections 6500-6578) to implement and car_ey out a
mass transportation demonstration program through and by means
of federal ~unding; and
WHEREAS, a grant contract, namely •urban Mass.Transportation
Demonstration Grant Contr~ct Between the San Jose-Palo Alto
Transit Authority, San· Jose, California·, and the Uni~ed States
of America," Project Number CAL-DMG-14 (hereinafter called
"grant contract"), has been presented to the Authority for
execution by the united States of America, Department of. _Trans-
portation, Urban Mass Transportation Administration, which would
assist in funding Phase I of the project, as the t~rms· "Phase I
of the project" are d~fined in said aqreenient; and
WHEREAS, Section S(b) of said agreement provides that the

Authority shall not enter into ~Y federal grant agreement or
receive any monies thereunder unless the Cities of San Jose and
Palo Alto shall first approve such agreement1 and

WHEREAS, the said grant contract has been submitted to the
City of Palo Alto for its review and approval:
NOW, THEREFORE, the Council of the City of Palo Alto hereby
aporoves, pursuant to the requirements of Section S(b) of the
said agreement, the proposed grant contract entitled "Urban Mass
Transportation Demonstration Grant Contract Between the San Jose-
Palo Alto Transit Authority, San Jose, California, and the United
States cf Am~rica," Project Number CAL-bMG-14. This approval
is based and conditioned on the City's understanding that all
__ general references to the project in said grant contract, except
for the references to Phase II of-the project appearing in Section
7 thereof, apply only to Phase I of the project as those terms
are defined in the said agreement and in no way shall be deemed
to constitute authorization Eor the San Jose-Palo Alto Transit
Authority to apply for fede~al grants for, and enter into a
grant contract for, or to implement or carry out, "Phase II of
the project" as those terms are Qefined in-said agreement.
