RESOLUTION OF THE COUNCIL OF THE CITY OF PALO ALTO
APPROVING AND AUTHORIZING EXECUTION OF A PROJECT
AGREEMENT FOR LAND AND WATER CONSERVATION FUND
PROJECT NO. 06-00197, "URBAN BICYCLE ROUTE SYSTEM,"
BY AND BETWEEN THE CITY OF PALO ALTO AND TH~ STATE
OF CALIFORNIA, RESOURCES AGENCY, DEPARTMENT OF
PARKS ANO RECREATION
The Council of the City of Palo Alto does RESOLVE as fol-
SECTION 1. The Council of the City of Palo Alto does hereby
approve. in all respects the Project Agreement attached hereto,
marked EXHIBIT A, and by reference made a part hereof between the
City of Palo Alto and the State of California, Resources Agency,
Departmell,t of Parks and Recreation, the terms of which provide for
federal reimbursement of an amount not to exceed Eighty-seven
Thousand seven Hundred Twenty Dollars ($87,720.00) under provisions
of the Land and Water Conservation Fund Act of 1965, 78 Stat. 897
.(1964), for :the development of Project No. 06-00197, "Urban Bicycle
Route Syst~,a as described as follows: Th.is.project will provide
a bicycle route system within the City of Palo Al.to consisting of
approximately t~irty-eight (38) miles of separated bicycle lanes.
Development of this bicycle route system will include curb ramps,
land striping, raised traffic bars, signs, asphalt pathways, side-
walk construction where riding bicycles on the street would be -
unsafe, modification of one.}l) undercrossing, and construction.

CONTRACT.TERMS
The State Liaison Officer for the Land and Water Conservation Fund
and the CITY OF PALO ALTO, hereinafter referred to as the Participant,
mutually agree to perform tjlis aqreement in accordance with the Land
and Water Conse~ation Pund Act of 1965, 78 Stat. 897 (1964).~
The State of California hereby promises, in consideration of the
promises made by the Participant herein, to accept appropriated
Federal Funds for the purposes of the Project and disburse ~~~ same
to reimburse the Participant SO percent of the eligihle Project cost
not to exceed 50 percent of the direct Project cost shown in this
aqreement; except for a 2 percent slircharge of administrative costs
to .. be applied to the total estimated direct Project costs as shown
above. The surcharge is to be deducted from the reimbursements
received from the Federal Government applicable to this Project. It
is understood by the parties hereto that this agreement shall not
obligate State of California funds for the Project costs described
herein. The Participant hereby promises, in consideration of the
promises made by the liaison Officer herein, to execute the Project
stage described herein, in accordance with the terms of this agree-
ment. Any disbursemen:c hereunder shall not be made-unless and until
funds therefor are received by the liaison Officer from the Bureau
of Outdoor Recreation.
The following special Project terms and conditions were added to
this agreement before it was •igned by the parties hereto and any
deviations from or chanqes in the Project shall be accomplished
only through wr~tten: consent of the ~ties concerned:
The Participant will peraanently display in a canspicuous place a
bronze plaque which ackn<Nledges Land and Water Conservation Fund
assistance. The plaque wili be furnished by the State Department-;
of Parks and Recreation subs911uent to %eview and approval of plans
and specifications. 'l'he plaque will be displaye4 in -the area
assisted by federal funds prior to final payment.

C. PROJECT CuSTS

D. PROJECT ADMINISTRATION
1. The Participant shall promptly submit such reports an~ in such fortti as
the Liaison Officer may request.
2. Prope~y and facilities acquired or developed purauant to this aqreament
shall be available for lnapection by the Director and the Li"abon Officer.
3. Intere•t earned on funds qranted pursuant to.thl• aqr..,..nt shall not
be available for expenditure by the Participant but •hall be cllapC'.'sed of accordinq
to instructions ieaued by the Director.
E. PROJECT TERMINATIO!J
l. The Participant may upon written notice to the Liai•on Officer unilater-
ally rescind this agreement at any time prior to the C011111ence .. nt of the Project.
After Praject c0!9encement, this aqreement may be reecincled, aodified, or
amended only by mutual aqraement. A p~ject shall be deemed ~d when the
Participant make• any expenditure or incurs any obliCJAtion vlth respect to the
Project.
2. Failure by the Participant to ce111ply with the te:icm of this agreement
or any similar aoreement·may be c&QSe for th•·•uspena1on of all obli9&t.i01U1 of
t.he united States or th~ Stat.e here1mder.
