RESOLUTIOU OF Th£. COUNCIL OF Tl;E. CITY OF PALO ALTO
APPROVING RLSCISSION OF A DECLARATtON OF RESTRICTIONS
ANO COV~NANTS FOR CERTAIN PROPERTY IN THE CITY OF
PALO ALTO
WHEREAS, on March 28, 1961, the Coca-Cola Bottling Company
of Palo Alto executed a document entitled "Declaration of
Establishment of Restrictions and Covenants Affecting Certain
Real Property in the C.ity of Palo Alto as Riequired by tha Off-
street Parking Provisions of the Palo Alto Zoning Ordinance," a
copy of which is attached hereto as Exhibit "A" and incorporated
herein by this reference; and
WHEREAS, since the execution of said document, Nina Wells
Cochran has acquired a portion qf the real property described in
said declaration1 and
WHEREAS, the Coca-Cola Bottling Company of Palo Alto, in
1975, made satisfactory alternative arrangements to satisfy said
parking provisions1 and
WHEREAS, Paragraph 3 of said declaration provides that the
provisions of said declaration can be rescinded in whole by the
owners of more than one-half of the total area of the real property
described in said declaration by a declaration in writing signed
and acknowledged by said owners, together with the consent of
the City of Palo Alto evidenced by a certified copy of a resolu-
tion of the Council of the City of Palo Alto qivinq consent to
such rescission, which shall be attached to said declaration and
duly recorded therewith in the Office of the County Recorder1 and
WHEREAS, the Coca-Cola Bottling Company of Palo Alto and
Nina Wells Cochran, sole owners of the real property described
in the aforementioned 1961 declaration, have made such decla-
ration requesting rescission of all provisions of the afore-
mentioned lS6l declaration1
NOW, THEREFORE, the Council of the City of Palo Alto does
RESOLVE as follows:
SECTION l. Rescission of the Declaration of Establishment
of Restrictions and Covenants executed by the Coca-Cola Bottling
company of Palo Alto, recorded as Document No. 1980442 in Book
5132 at Page 69 of the Official Records of Santa Clara county,
on April 11, 1961, is hereby approved as requested by the
Coca-Cola Bottling Company of Palo Alto and Nina Wells Cochran,
sole owners, and the'Recorder of the County of Santi\ Clara is
~requested to record this resolution, which shall be deemed to
constitute said rescission.-
SECTION 2. The City Clerk is hereby directed to forward
a certif led copy of this resolution to the County Recorder
together· with the document described in Section l hereof.

SECTION 3. The Council hereby finds that this project
qualifies for a categorical exemption from the requirements for
an environmental assessment.

AND COVENANTS AFFECTIN~ CERTAIN REAL PROPERlY
IN THE Cin' OF PALO ALTO AS REQUIRED BY THE
OFF-STREET PARKING PROVISIONS OF THE PALO ALTO ZONING ORDINANCE
TIIIS DECLARAnON made and dated this 28th day of March,
1961, by the undersigned hereinafter referred to as "Declarant":
WI TNESSEnl:
WHEREAS, Declarant is the owner of the following described -
parcels of property:
PARCEL A Property in the City of Palo Alto, County
Ot santa Clara, State of California, to wit:
Lots eleven, twelve and thirteen, in block eleven,
as shown on that certain map entitled 1'Map No. 2
-Sunnyside Addition to the Town of Mayfield, Santa Clara
Co., California, "Filed for record December 19, 1905
in book "L" of maps, page 12, Santa Clara County
records, subject to restrictions of record, if any.
PARCEL B All that certain real property situate, lying
and being in the City of Palo Alto, County of Santa
Clara, State of California, bounded and particularly
described as follows:
_?ortion or ~ot 9, in Block 12, as shown ur.on that certain
Map entitled, "Map of Sunnyside Addition, 1 which Map was
filed for record in the off ice of the Recorder of the
County of Santa Clara, State of California, on February
28, 1905, in Book K of Maps, page 47, and more parti-
cularly described as follows:
COMMENCING at the comnon corner for Lots 9 and 10 in
Block 12, as shown upon the Map hereinabove referred to,
standing in the Southeasterly line of Lambert Avenue;
thence Southeasterly along the dividing line between said
Lots 9 and 10, 200 fe!et; thence Southwesterly parallel with
Lambert Avenue, 50 feet to a point in the dividing line
between Lots 5 and 9, as shown upon the above Map; thence
Northwesterly along the dividing line between Lots 5, 8 and
9, 200 feet to the Southeasterly line of said Lambert
Avenue; thence Northeasterly along said Southeasterly-line
of Lambert-Avenue, 50 feet to the point of beginning.
WHEREAS, Declarant proposes to construct a comaercial structure

on Parcel A for wich minimum parking requirements of 33 parking spaces
must be provided as set forth in Article 21 of Ordinance 1324, the
Zoning Ordinance of the City of Palo Alto, and
WHEREAS, only 8 of the 33 parking spaces required by said Article
can be provided on Parcel A and J)eclarant proposes to provide the
remaining 25 spaces on Parcel B which is located not more than SOO

WHEREAS. Declarnnt desires to insure the perpetuation of
said parking spaces on 1aid Parcel B during the lifetime of the
structure to be e~ected on Parcel A by the execution of this
declaration of restrictions and covenants as required in said
Article, in consideration of the issuance of a building permit for
said structure by the City of Palo Alto:
NOW, nlEREFORE, said declarants now declare that:
1. ·All of the .restrictions and covenants set forth in this
declaration shall affect said Parcel B and shall run with the land
and shall continue for the entire life of the building erected on
Parcel A pursuant to said building permit and all alterations and
additions thereto. All of said restrictions and covenants are
intended to create mutual, equitable servitudes upon all of the
real property and to create a privity of contract or estate between
the grantees of any portions of said property, their heirs, successors
or assigns, and shall as to the owner of any portion of the land
hereinbefore described, his heirs, successors or assigns, operate as
covenants running with the land for the benefit of all other land
herein described and the owner or owners of said land.
2. Parcel B is hereby reserved, during the existence of the building
to be erected on Parcel A for the parking thereon of not less than
25 motor Yehicles for the benefit of Parcel A and shall be used for
no other purpose whatsoever other than for parking of said motor
vehicles. 'lhe 8 parking spaces to be provided on Parcel A shall be
substantially in the location and arrangement shown on llExhibit A"
attached hereto and made a part hereof and the 25 spaces to be
provided on Parcel"B shall be.substantially in the location and
arrangement shown on "Exhibit B" attached hereto and made a part
hereof.
3. 1'he provisions of this declaration may be abrogated, modified,
rescinded or amended in whole or in part by the owners of more than·
one·h~lf (1/2) of the total area of the.real property hereinabove 1
described as Parcel A and Parcel B by a declaration in writing and

signed and acknowledged by said owners, together with the consent
of the City of Palo Altq evidenced by a certified copy of a
resolution of the Council of said City of Palo Alto giving consent
to such modification, rescission, abrogation or amendment, which
shall be attached to said declaration and duly recorded therewith
in the Office of the County Recorder of Santa Clara County, State
of California.
IN WITNESS liHEREOF, declarants have executed this declaration
on the date first hereinabove written.

Santa Clara County,·california, setting forth certain parking
requirements with respect to Parcel b described in said Declaration;
and
WHEREAS, the said restrictions and covenants with respect to
parking are no longer required;
NOW THEREFORE, COCA-COLA BOTTLING COMPANY OF ;PALO ALTO, a
corporation, hereby rescinds the said Declaration recorded April
11, 1961, in Book 5132, page 69, Official Records, Santa Clara
County, California, in its entirety •
