RESOLVED, by the Council of the City of Palo Alto, California, that Bank
of America National Trust and Savings Association is 'hereby appointed to act
as Paying Agent and Registrar in connection with the City's proposed issue of
City of Palo Alto Electric and Gas Revenue Bonds, 1979 Series A, authorized to
be issued by Resolution No. 5634, adopted January 29 , 1979 and
Resolution No. 5635, adopted Jani~~'J: 2i_ , 1912_.

I hereby certify that the foregoing is a full, true and correct copy of
a ~esolution duly passed and adopted by the Council of the City of Palo Alto,
