RESOLUTION NO. 4879
RESOLUTION OF THE COUNCIL OF THE CITY OF PALO ALTO
APPROVING COOPERATION AGREEMENT WITH THE HOUSING
AUTHORITY OF THE COUNTY OF SANTA CLARA
The Council of the City of Palo Alto does RESOLVE as follows:
That the cooperation Agreement attached hereto between the
CITY OF PALO ALTO, a municipal corporation, and HOUSING AUTHORITY
OF THE COUNTY OF SANTA CLARA, a public corporation created pur-
suant to the Housing Authorities Law, be and the same hereby is
approved; that such agreement and the activities carried out
pursuant thereto will have no significant environmental impact;
that the Mayor be and he hereby is authorized and directed to
execute the same for and in behalf of the City; and that the
City Clerk is authorized and directed to attest his signature.

h'ilE~.EAS, the Housing Authur i t.y, e.stu:Ol.i.siled for the purpose
of providi•~g low income housing in Sunta Cl..ira County, has been
unable to lease marry units for ~uch purposes in Palo Alto under
the federal Section 23 program due to th~ high rents extant in
the Palo Alto housing market; and

"' WHEREi"\S,. the City recoyniz{~s the need for additional housing ~
for low income persons and wishes to incre<"'.SC the number of
housing uni ts lensod for lo;.: incom.J persons by the Housing
Authority within the city limits; and
WHEREAS, by Ordinance No. 2761 the Council of the City of
Palo Alto transferred funds to be used to supplement Housing .
Authority funds provided as part of the Section 23 program to .
lease more housing units for low income persons in.Palo Alto; and·
WHEREAS, the Housing lmthority intends to apply such funds
to increase rents payable to owners of units leased and stands
ready to assume any reasonuble administrative cots it might incur
in carrying out the terms of this agreementi
NOW, THEREFORE; in consiclcration of their mutual covenants,
the parties hereto agree as follows:
1. COOPERl\TIO~ AGREEMEN'r COOHDINl\TlON,
l\. s;ity. The City Manager shall Le representative of City
for all purposes under this agreement. The Assistant Director
of Planning is hereby designnted as Cooperation Agreement
Manager and he shall supervise the progress and execution of
this agreement.
B. Housing ~uthoE._i~. The Executive Director of t.he
Housing Authori~y is designated Cooperation Agreement Director
for Housing Authority and shall be assigned and shall have
responsibility for the progress and execution of this agreement.

us economically practicilble, a b,1L:u1ce<between· tenancies
provided to families and to elderly persons of low
income.
B. Housing Autho1·ity shu.11 enter as many lensc>s for three-
year terms as possible, pursuant to Section 2.A. of t!1is agree-
ment, consistent with the .requirements thereunder. However, the
Housing .<"\Uthority shall not enter so many leases on such term:)
that more than Fifteen Thousand Dollars ($15,000J of funds pro-
vided by City hereunder would be corr~ittcd for the period of
any one year from the date of execution of this agreement. In
no event shall the Housing Jl.uthority enter so many leases on
such terms thft the total amount of funds re4uired to be pro-
vided by City under this agreement could exceed Forty-five
Thousund Dollars ($45,000) from the date of execution to the date
of termination of this agreement.
c. Housing Authority shall 11ot use funds provided by
City hereunder for leases in other federally assisted, or city
assisted housing units.or projects without the prior approval
of the City Council.

(e} Such other information, including adminis-
trative costs, tenant profiles, and turnover, which may
assist City in evalu~tiny the effect of this agreement.
(2) Housing Authority shall cooperate with City
in evaluating the information to be provided under
Section 2.E. of this agreement and shall hold open its
accounts, files, recorJ$, and other duta relating to
this agreement, except tenant applic~tions, for city
audit and review, µnd shall allow City to copy such
docuinents CJ t City's expense.
F. Housing Authority shall maintain such·'?-Ccounting system
as may he required to permit a rapid and effective audit which
will show the use and disposition of City funds ..
3. DUTIES OF CITY.
A. City shull provide Housing Authority up to Four Thousand
Five Hundred Dollars ($4,500) upon the execution of this agree-
r.1ent and annually thereafter u.s an advance on the amount of
Pifteen Thousand Dollars ($15,000) which City shall provide
Housing Authority a3 may be req:ui..red by the nuniber of units
leased, to supplement federal or other Housing Authority funds
to lease housing hereunder each year.

B. City shall i:eimburse Housing Authority, after the
annual advance under Section 3. ll.., in such amounts as may be
required for leases entered hereunder which aggregate up to
Fifteen 'l'housan<l Dollars ($15 ,-000) annually, inclusive of the
annual advance, an<l up to Forty-five Thousand Dollars (:;45,000)
over the tm:m hereof, ·calculated from the date of th"~ firGt
advance to the <lute of termination of this agreement. Reim-
bursen1ent· of Housing Authority I following the initial annual
advance, shall be made upon submission to City of the progress
and financial report required under Section 2.E. (1) for units
leased hereunder.
c. City shall hold and provide Five Thousand Dollars
($5,000) to the Housing Authority upon termination of this
agreement to be used to phase out leases entered hereunder
which extend beyond the date of termination or for such other
obligations incurred by Housing Authority, provided that City

6. HIGHT 'l'v SUSPEND OR '.i.'t;p_;.n ~~NI'?-:. City sllall have the
right to suspencr()r-tei·~~iil.rte thls agreement if· Housing Authorit:y
fails to carry out its duties hereunder or is incapable of
performing to the date of termination, or ii City considers the
agreement unfavorable in 1necting original objectives; based on
progress and financial reports submitted under Section 2.E.(l).
If City tel.minates this agreement, Housing Authority, upon
receipt of notice of such ten.1i.nation, si1u.ll not enter any new
leases her·..:!under but shall -continue tc udrninister such leases
which have been entered up to tlhlt data and shall furnish City
cJ. final progress and financial n~port containing all the
information required under Section 2.E. (1):. In such case, City
shall provide Housing Authority with funds to supplement federal
i.lnd other Housing 1"\uthority funds only for leases entered up
to the date of termination.
Housing Authority shall have the right to suspend or.
terminate ~his agreement if federal funds necc~sary to carry
out this agreement are sub'3tantidlly rec..luced or tennina ted or
if the Section 23 program, or any similar or succe~sor program
is so altere<l as to make Housing Authority incapable of per-
. forming uncler this agreement.
7. DUTY TO DE.FEND, INDEMNI:;'~ AND HOI,D HARMLESS. Housing
Authority hereby agrees to defend·, indemnify and save harmless
City, its officers, t:1gents, and eJnployees from:
A. Any and all claims and demands which may be made
agninst City, ,its officers, agents, or employees by reason of
any injury to or death of any person or damage 5uffered or
sustained by any person or corporation caused by, or alleged
to have been caused by, any act or omission, negligent or
othci-wise, of Housin9 Authority or any subcontr.:ictor under this
agreer:-icnt or of Housing Authority's or any suLcontractor's
employees or agents.
B. Any and all damage to or destruction of the p~operty
of City, ifs of£icers, agents, or employees occupied or used
by or in the care, custody, or control of Housing Authority,
caused by any act or omission, neglige11t or otherwise, of
Housing Authority or any subcontractor under this agreement
or of Housing Authority•s or any subcontractor•s employees
or agents.

8. w~:mKf.iEN' s ~or-!PENSi\'.i'IO_~. Housing i"'rnthor i ty certifies
that it is aware of the provisions of the Labor Code of the State
of Californi.ci, which require every employer to be insured ugainst
liability for \-.·0rk.r.icn' s compGnsation or to undertake self-insur-
ance in accordance with the µ~ovisions of that code, and it
certifies that it will comply with such provisions before com-
mencing the performance of this agreement.
9. INSURl1NCE. A .. Housing Authority, at its sole cost
and expense, shall obtain and maintain in full force and effect
throughout the enti~~e te-rm of this agreement at least. the fol-
lowing described insurance coverage, insuriny lloui::ing Authority
and its subcontractors, if any, and shall provide City with a
certificate of insurance evidencing such coverage ..

B. Housing 1\uthority, durin9 the term of this agreement,
shall obtain and maintain in force at Housi1:9 l\uthority's expense
a policy of liability insurance in rninium amounts of One Hundred
Thousand Dollars ($100; 000) per person and 'l'hi·e<:! Hu!ldr.ed 'Thousand
Dollars {$300, 000} per occurrence for personal injury and One ·
Hundred '£b"ousanr Dollars ($100 1 000) p~r occurrence for property
dcm1dg€ liability; and shall provide City with a certificate of
insurance as evidence of such coverage. A form of contractual _
liability endorsement shall be ad<led to the aforementioned policy
of liilbiljty insurance to afford Housing Authority such contrac-
tual liability coverage as will be sufficient to insure against
the liability assumed by Housing Authority in Section 7 herein •
.:ity, its officers, agents and employees must not be named as
an additional insured on such policy. Such policy shall provide
that such insurance shall not be cancelled except after a
minimum of ten days written notice to City.
