RESOLUTION OF THE COUNCIL-=-o=F___,T=H=E__,...c=rT=-Y-O~F PALO ALTO
AUTHORIZING 3IGNATURES FOR A BANK ACCOUNT FOR THE CITY OF
PALO ALTO RETIREE'S MEDICAL REIMBURSEMENT PLAN AND
AUTHORIZING CERTAIN PROCEDURES
WHEREAS, the City of Palo Alto is a municipal corporation duly
organized and operating under a charter pursuant to the constitution
and !aws of the State of California1 ·
NOW, THEREFORE, the Council vf the City of Palo Alto does hereby
R~SOLVE as follows:
SECTION 1. That the Crocker ~ational Bank (Bank) is hereby sele~ted and<ies~gnat.ed as a depositary cf funds of this organization
and that such d&posit '.iccount or accounts be establisht'd and
maintained by and in the name of this organization and at such otfice
or of fices of the Bank and upon and subject to sue~ terms and
conditions as the City of Palo Alto may from time to time agree upon
with the Bank; and
SECTION 2. That all checks, drafts, orders, receipts, and other
instruments drawn, accepted or given by this organization for payment
from any such account or at any ~uch office be signed on behalf of
this or~anization by the following persons dPSignated by name or
organizational title and by group, viz. by any one of Group A or if
ever $1,000, any one of Group A together with any one of Group B:

SECTION 3. That the Bank may accept for depos_t or collection
any c~eck, dratt, order, or other instrument for the payment of money
whether or n~t endQrsed in the n~me of this organization by ~ritten or
stamped endorsement and with or witho\ .... designation or signature of
the person making such endorsement;
SECTION 4. Tt1!lt the Bank be and hereby is requested and
authorized to honor, receiva, certify or p~y any such check, draft,
or, receipt or other instrument signed or endorsed in ac~ordtnce with
the foregoi~g resolutions and the certification then in effect as
provided fer in these resolutions, including any thereof pre~e·~~ed for
negotiation, encashment, or payment by, or drawn or endorsed to the
personal order of any person signing or endorsing the samer
SECTION 5. That the City Clerk, or any Assistant City Clerk of
this organization be and horeby is authorized and dire~ted to ce~tify

conformity with the charter and br-laws or other gov?rning instrument
of this ot·ganization ;lnd further to certify to tl1e Bank a copy of
these resolutions, the names and specimen signatures of the pre$ent
officers and other persons of this organization authorized to sign as
aforesaid, and the fact of any change of the persons herein designated
by title together with the name and specimen signature of th~
successor1 aad
SECTION 6. That these resolutions and each such certification
shall remain in full forcd and effect, and the Bank is authorized and
requested to rely and act thereon and shall be indemnified and saved
harmless from all liability and loss incutred by it in continuing to
act in pursuance of these resolutions (even though they m~y have been
changed) until it shall receive at its office, ot ~ffices if more than
one, to which a certified copy of these resolutions is delivered,
either a certifiP.d copy of a further resolution of the City Council
amending or rescindi~g these resolutions or a further certific~tion as
abeve provided for, as the case m~y bef and the Bank is authorized to
honor any instrument and ~greement signed by any new person in respect
of whoM it has recej.ved any new certification !s successor with the
same force and effect as if said new person were named in the
foregoing resolutions.
