RESOLU~ION OF THE COUNCIL OF THE CITY OF PALO ALTO
AUTHORIZING EXECUTION OF AN AGREEMENT WITH THE PALO
ALTO GOLF COURSE CORPORATION SPECIFYING CERTAIN
ACTIONS THE CITY WILL TAKE IN RELATION TO THE PALO
ALTO GOLF COURSE FACILITY
T1e Council of the City of Palo Alto does RESOLVE as follows:
SECTION 1. That certain agreement entitled ·AGREEMENT BETWEEN
CITY OF PALO ALTO GOLF COURSE CORPORATION AND CITY OF PALO ALTO· dated
-for convenience March 22, 1986, between the City and the Corporation,
which is attached hereto as Attachment •o• and incorporated herein by
this reference, is hereby approved and the Mayor is hereby authorized
to execute said agreement on behalf of the City.
SECTION 2. The Council of the City of Palo Alto hereby finds that
none of the provisions of this resolution will have a significant
environmental impact.

AND
CITY Of PALO ALTO
THIS AGREEMENT 1nade and entered 1nto this _ day of ----•
1986. by and between the CITY OF PALO ALTO, a 11Un1c1pal corporation of
California (herein called •ttTY1 }1 and the CITY OF PALO ALTO GOLF COURSE
CORPORATION, a pr1vate nonprofit corporation (herein called •toRPORATION 1 );
W I T N E S S E T H : ----------
WHEREAS, the Corporation on februa~y 14. 1978, adopted Resolution No.
78-2, entitled •A Resolution Authorizing the Issuance of Golf Course Lease
Revenue Bonds of the City of Palo Alto Golf Course Corporation and Providing
for the Issuance of Series 1978 thereof-(the 11Resolut1on•), and pursuAnt
thereto issued 1ts Sl,800,000 lease Revenue Bonds, Series 1978 (the
"Bonds•); and
WHEREAS, the CORPORATION entered 1nto a lease entitled •tease of Golf
Course Facility City of Palo Alto Golf Course Corporation (as amended),
dated as of October 3, 1978 (the •Lease•), in connection with the
transactions contMPltted by the Resolution and to ~ecure t~ Bonds.
pursuant to which Lease this CORPORATION leased the Site (as defined in the
Lease) froa the C1ty of Palo Alto (the •c1ty•) end leased the Site and the
Golf Course Facility to CITY: and

WHEREAS, CITY has requested an ainendllent to the Lease to exclude the
reai pr1)J)ert1 described in ExMbit A attached he-reto and incorpt>rated herein
b;r this ref~rence (herein called the •Geng Road Parcel•) from the real
property const1tut1ng the site under the ter9S of the Lease, upon a
portion of wh1c~ s1te the Golf Course facf 11ty 1s located; and
WHE:REAS, such a11endllent 1s pen111tted pursuant to Section 906 and
Section 911 of the Resolution upon certain conditions; and
WHEREAS, the City Council hes requested the exclusion of the Geng Road
Parcel 1n order to negat1ate an exchange of the Geng Road Parcel for a s1te
on Middlefield Road as 1Uthor1zed by t~ voters of the City of Palo Alto in
the ltovdber 5, 1985. am1c1pal election; and
WHEREAS, CORPORATION has agreed to sudl llll!ndlient provided .cnv
executes this agreement specifying certain act10!1s the CITY w111 take in
relation to tilt &olf Couf'se fac11fty;
MOW, THEREFORE. 1n consideration of their mutual covenants, the
parties hereto agree as fo11cws:
H,CTIOK 1. The City touncn agrees to go on f'econl that the reaoval
of the Seng lloed Parcel from park cled1catton will not serve as 1 precedent
for CITY land use policy.

developer of the Geng Road Parce1 which will protect present and future
operation of the Self Course and dr1v1ng range from any 1111pact by the
development of the Geng Road Parcel. This protection shall include at

40 feet and 1mprov1ng the quality of the fencing

SECTIOll J. The CITY agrees that the development of the Geng Road
Parcel will not restrict the tnstallat1on of driving range lighting.
SECTION c. If the Seng Road Parcel 1s exchanged for the Middlefield

SECTION 5. The CITY .,tll CClll!lit funds to develop a plan to improve
Golf Course parking, 11ndsc1p1ng, and drainage needs 1n the area of the
practice putting gre!n and golf clubhouse. These plans. as adopted by the
City Council, are to betOlle 1 part of the City Capital Improvement Program.
SECTION 6. The CITY sha1l pur!lUe a plan for 111provi"9 the clubhouse
fac111t1es; and, should 1t prove to be econa111cally viable, the CITY would
work with the Golf Advtsory ec-i1ttee to 1mplaent the plan.
