RESOLUTION OF THE COUNCIL OF THE CITY OF PALO ALTO
APPROVI~G AND AUTHORIZING EXECUTION OF AN
AGREEMENT WITH TURLOCK IRRIGATION DISTRICT
REGARDING TRANSFER OF THE CITY'~ REMAINING
SHARE OF NCPA GEOTHERMAL GENERATING PROJECT NO. 3
WHEREAS, by agreement dated October 1, 1984, the City of Palo Alto
and the Turlock Irrigation District agreed to a transfe~ of 8.964% of
Palo Alto's 12.316% interest of the first unit of NCPA's Geothermal
Generating Project No. 3 under NCPA's Third Phase Agreement relating to
that project; and
WHEREAS, Turlock desires to acquire and Palo Alto wishes to trans-
fer its remaining 3 .352% interest in the East Block Entitlement Per-
centage of project capacity ~nd energy under said Third Phase Agree-
ment;
NOW, THEREFORE, th~ Council of the City of Palo Alto does RESOLVE
as follows:
SECTION 1. The interim •Agreement Between the Turlock Irrigation
District and the City of Palo Alto~, attached hereto, is hereby approv-
ed, and the Mayor and City Manager are authorized to execute said
Agreement en behalf of the City.
SECTION 2. Staff is directe•i to proceed with the conclusion of
the transaction and preparation of whatever documents are necessary and
to obtain the consent of any other parties deemed necessary.
SECTION 3. Council hereby determines that none of the provisions
of this resolution have a significant environmental effect.
