RESOLUTION OF TliE COUNCIL OF TBE CITY OF PALO ALTO
AUTHORIZING CONVEYANCE OF CERTAIN EASEMENTS TO
FIRST AMERICAN TITLE GUARANTY COMPANY
WHEREAS, in 1981 the City of Palo Alto obtained a future interest
in a parcel of land which is a portion of the former Lee Quarry, the
•Reservation Parcel,• subject to an estate for years until 19961 and
WHEREAS, the City of Palo Alto requires easements across the
Reservation Parcel for an emergancy access road, utilities, and a storm
drain channel; and
WHEREAS, First American Title Guaranty Company, the current owner
of the Reservation Parcel until 1996, will grant the required easements
to the City in exchange for easements from the City for landscaping,
utilities, and ingress/egress to benefit the adjoining properties fol-
lowing the termination of the estate for years in 1996; and
WHEREAS, granting these easements will not be detrimental to the
City's interest; and
WHEREAS, the landscaping easements are categorically exempt under
Section 15302, Ciass 3, (e), and the underground utility easements are
categorically exempt under Section 15302, Class 2, ( t'i ~-= and Section
15304, Class 4, (f ), of the California Environmental Quality Act; and
WHEREAS, on June 27, 1983, the City Council approved the storm
drain channel as part of the Foothills Park Erosion Control Project and
found it to have no significant environmental adverse impact; and
WHEREAS, an initial study recommending a Negative Declaration for
the emergency access road has been completed;
NOW, THEREFORE, the Council Of the City of Palo Alto does RESOLVE
as follows:
SECTION l. The Council of the City of Palo Alto hereby finds that
the emergency access road will have no significant adverse environ-
mental impact. ·
SECTION 2. The Council of the City of Palo Alto hereby authorizes
the Mayor to execute and staff to deliver the Grant of Easement -City
as Grantor, attached hereto as Exhibit I, upon notice from the Manager,
Real Property that the Grant of Easement -City as Grantee, attached
hereto as Exhibit 11, has been properly executed and delivered to
Manager, Real Property for recordation.

of California, described in Exhibit A and ~hown on Exhibit B which exhibits are attached
hereto, and made a part hereof, subject to the followfng conditions:
GRANTEE. its successors and assigns. ar.d its and their respective contractors, agents and
•ployees shall have free access to said easeSRents and right of way at all reasonable
times for the purpose of exercf sf ng the rights herein granted, provided, however that:
.1. All construction or 1aproveaents made within the easement area shall comply with
pl ans appro\·ed by GRANTOR •s Public Works DepartMent, and any other body having
jurisdiction over such construction or 1•provaaents.
2. Should it be necessary for GRANTEE to disturb the easement area for •a1 ntenance or
repair, GRANTEE agnes to notify GRAtlTOR in advance of the location and extent of
such work, ind to obtain GRANTOR' s consent and any re qui red construction permits
prior to coamencement hereof, except, GRANTOP.~s consent shall not be necessary in an
111ergency s1tuatfon. GRANTOR agrees not to withhold its consent capriciously or
unreasonably. For the purpose of granting consent, GRANTOR designates the followf ng

GRANTEE shall further notify GRANTOR's City Engineer 1aned1ate1y upon completion of
any work perfonaed hereby.
3. GRANTEE, fts successors and assigns, shall •ake any excavation, or perform any
construction, in a •anner which causes the least injury to the easement area and
shal 1 replace any earth so removed by ft, and restore or repair any surface or
subsurfate improvements to as near the s•e condition as existed prior to such or
constructfon as 1s possfble. GRANTEE agrees to repair to the satisfaction of
GRANTOR 1 s City Engfneer any landscaping, sf dewal ks, ornamental pavanent asphalt
paYfng, underground fac:n ft; es, or structural facn ftfes danaged or destroyed by
GRANTEE.
4. GRANTEE shall et all times observe and comply, and cause all of its subcontractors
ar.d employees, ff any, to observe and comply wfth 111 existing and future federal.
state and local laws, ordinances, regulations, orders and decrees which 11ay affect
the conduct of GRANTEE in the exercise of the r1ghts granted herein.
5. GRANTEE, by the acceptance of this f nstrument, agrees that fn the event that
util 1t1es which have been constructed 1n the easeaent areas are d'fscont1nued and
GRANTEE is not required by 1 aw, rule or regulation of any govermental authority to
furnish service by •earts of saf d fac fl f ty, GRANTEE. at GRANTOR 1 s request, sha 11
remove and/or abandon any portion of said facilities owned, operated and maintained
by GRANTEE, within ninety (90} days after receipt of written r.otfce fro1R GRAMTOR to
so re11ove and/or abandon. In the event of s"ch nwoval and/or abandon111ent, GRANTEE
shall quitclaim all rights acquired by ft under this Grant of Easement.
6. GRANTEE expressly agrees to fndean1fy, defend, and hold har11less, &RANTOR, its
officers, agents and employees frCllll all 11ab11itfes, claims or danands on accGunt of
or arising out of any fnjury or losses resulting from GRAKTEE' s e>tercise or rights
granted herein.
