RESOLUTION NO. 6373
RESOLUTION OF THE COUNCIL OF THE CITY OF PALO ALTO
APPROVING A CONTRACT FOR ELECTRIC SERVICE B'i AND
BETWEEN THE UNITED STATES DEPARTMENT OF ENERGY,
WESTERN AREA POWER ADMINISTRATION, CENTRAL VALLEY PROJECT
CALIFORNIA, AND THE CITY OF PALO ALTO TOGETHER WITH
AMENDMENTS CLARIFYING PALO ALTO'S INTENT TO SEEK
CLAR!PIC~TION OF THE MEANING OF THE SANTA CLARA MOU
WHEREAS, the City of Palo Alto and the United States of America
Department of Energy, Western Area Power Administration, are currently
parties to contract number 14-06-200-676A, as amendedJ and
WHEREAS, the City of Palo Alto and the United States of America
are parties to the Memorandum of Understanding dated February 8, 1980,
among the parties to the lawsuit entitled The City of Santa Clara v.
Duncan, et al.1 and
WHEREAS, the United States and the City of Palo Alto have an on-
going disagreement as to the meaning of some of the terms of the Santa
Clara Memorandum of Understanding;
NOW, THEREFORE, the City Cc-unci 1 of the City of Palo Al to does
hereby RESOLVE as follows:
SECTION I. A replacement contract by and between the City of Palo
Alto and the United States for electric service, entitled •united
States Department of Energy Western Area Power Administration Central
Valley Project, California Contract for Electric Service to City of
Palo Alto•, being numbered DE-MS65-85WP59007 is hereby approved and the
City Man~ger is authorized to ~xecute the same on behalf of the City,
provided that the City Attorney is hereby directed to insert language
which reserves to the City the right to seek a judicial determination
of the meaning of the Santa Clara memorandum of understanding on the
iasue of whether or not the City's contract rate of dem~nd is subject
to withdrawals, and under what circumstances.
