RESOLUTION OF THZ COUNCIL OF THE CITY OF PALO ALTO
ORDERING THE VACATION OF CERTAIN SUBSURFACE STREET
AREAS ALONG PORTIONS OF LYTTON AVENUE, RAMONA
STREET AND LANE 13 WEST
WHEREAS, it is the iatent of the Council of the City of Palo Alto
to vacate certain subsul!face st~eet a~eas within the public right-of-
way aloag LyttoR Ave11.ue aad Ramona Street aea11 their iRteITsectioa a:ad
the ftea~by alley kaowh as Lafte 13 West in the City of Palo Alto, County
of Saata ClaFa, State of Califoraia, described in Exhibit A attached
hereto and incorporated he~eiR by this ~efel!eace.
WHEREAS, the Couacil of the City of Palo Alto iatel!lds to vacate
such portions of said easement accordiRg to the p~ocedu~es set fo~th i~
Califo1rnia Streets and Highwa.11 Code, Divisioa 9, Pa£t 3, Chapter 3
( §8320 et seq.)' afld whetreas said vacation is :r..ecessa~y ia orde~ to
allow Uaiveysity NatioRal Bank & T~ust Company (•UNB•) to provide suf-
f icieat payking to comply with applicable City ordi1'aRces aad City
policy favois e~cou~agi~g small pa~cels to provide patrki~g Oft site1
WHEREAS, oa Ma~ch 18, 1985, pu~suant to Streets and Highways Code
§8320, the Couacil of the City of Palo Alto passed a ~esolutioR decla~
ing its 11\tent to vacate the subject pol!tioas of said easement .:\ad
settiag foJrth the time and place foJr a public heal!'iag foE' all persons
i~teEested iB the proposed vacati~~J and
WHEREAS, the Counci 1 futrtheF f i~ds that 1'1.otices of said proposed
vacatioR, stating the pu~pose of said £esolution aad the time and place
set fo~ heariag were posted as requi~ed by law1
NOW, THEREFORE, the COURCil of the City of Palo Alto does RESOLVE
as follows:
SECTION 1. From all evideace submitted to the Couacil of the City
of Palo Al to at said heat?iRg OR Apri 1 22, 1985, it is fouAd that said
easemeat po~tio3s as descFibed he~ein a~e not necessary for present or
pFospective public use as st~eets a~d alley.
SECTION 2. The Council of the City of Palo Alto unde~ the authoF-
ity of California St~eets and Highways Code §8320 et seq. does hereby
orde~ that said portions cf said easemeats as desc~ibed ia Exhibit A be
and hereby a~e vacated upon the following coaditio»s:
1. UNB shall at its owa expease coastruct,
maiataia and l'!'epail!' the pl!oposed pa11"ki•g gal!age in
accordance with plaas approved by, aad o~ file
with, City's DepaFtmest of Public Woll'ks. The
undel!grouftd ga~age withiR the vacated area shall be
designed to withstand a load of 2 times H-20 or the
equivaleat lifti~g capacity of a 90-to~ ciaae,
whichever is g"Eeateir irt Lane 13 West. The struc-
ture withis the vacated subsurface a:rrea shall be
the pirope:irty of UNB. City does not war.l!'aat the
suitability of said p:iropell'ty for the coatemplated
use. UNB is :rresponsible for iaspectiag said prop-
el!ty to assu~e its fitRess for said use.
2. UNB ag:rrees to indemnify, saye aad keep
City of Palo Alto, its officers, ageats, and em-
ployees free aad haFRtless, f~om a.,d agaiast aay and
all claims for injury, damage, loss, liability,
cost aRd expe~ses of any ki~d o~ nature whatsoever,
which City of Palo Alto, its officers, ageats, ozr
employees may suffe~, sustaia, iacur or pay out as
a result of any ar.d all actions, suits, p!!'oceed-
iags, claims a~d demaads which may be brought, made
or filed agair.st City of Palo Al to, its off ice rs,
ageats, a~d employees by reasoa of, o~ iR any maa-
aer coanected w:i.th coAstzruction, use Olf irepair of
aay stTuctures o~ operations ia the subsurface
stl!'eet areas which may be va::ated pul"suant to the
proceedin9s initiated by this ~esolutioa.
3. Prior to commenci~g aay coAst~uctios
within said subsu~face street areas, UNB shall
obtaia and mai:Fi.tain in full foE"ce a&d ef feet aa
insurance policy (or policies) issued by al'!. insul?-
ance company satisfactory to the City's Loss

and personal iAjUFY and/o~ ptropetrty damage loss

The policy shall have a single limit of liability
of aot less than $1,000,000 with an agg~egate limit
of not less thaa $5,000,000. The first such policy
or policies shall be issued pl!ior to sta:rtti~g con-
stJ?uction of the proposed garage. All policies o:rr
Certificates of In&urance shall be subject to
approval as to fo~m by the Loss Control Managev..
4. Such subsu:r.rface street aFeas may be used
oaly fo:rr the pul!'pose of coBstr:uctiag, maiRtainillg,
~epairing, and ope~ating the pa~kiAg garage and
related stailr wells aad ro.echanical and electrical
equipmeDt.

UNB shall forthwith execute a quitclaim deed to
City for all wights acqui~ed unde~ this pro-
ceeding.
7. If (i) const~uctioa is not completed
within 36 months of Couacil's adoptioa of this
resolutioa, (ii) the parking garage or the building
to which it coan.ects are volunta?ily demolished,
(iii) the parkiag garage or the buildiR.g to which
it coaaects OE' of which it is a part are destFoyed
and reconstructioR. an.d !!'epai.-have not commenced
within 12 months of such dest~uction and completed
within 36 moaths '.')f dest:r-uctioft, (iv) if the
subsurface parking stYucture is abando~ed foE a
period of thl!ee months, ol! ( v) if the i.nsuE"an.ce

tically revert to the City and G~aatee, upon

cluding, but not limited to, failuFe to lease o~

8. Performance Bond o~ Completion Bond guar-
anteeing completion of subsu~face pat:king st~uctu~e
ia aa amouat equal to estimated cost to consttruct
said strructul!'e shall be provided to the City pt:io1:
to commencement of const~uctio~ of said gaKage.
9. T).e vacation of easements shall not be-
come effective uBless a:ad until the UJ\deirlyiag fee
owneEship to the pol!'tio1' of the easemeats affected
by the vacation vests with UNB.
SECTION 3. The CouRcil finds that this p~oject will have ao
significaat eaviEoamental impact a~d the Council has ~eviewed aRd coa-
side .. ed the Negative DeclaFatioa for the p~oject.
SECTION 4. The City Cle~k, acting through the Manage~, Real Prop-
erty, shall cause a certified copy of this l!"esolutiOJ11., attested to by
the City Cle.-k under seal, t.o be i:ecotrded in the Office of the County
Reco~der of Saata Cla~a upon the satisfactio& of the condition 9 speci-
fied ia Section 2 ~f this resolutionw
SECTION s. The Mayor is heieby authorized aRd di~ected to execute
and delive~ to Unive~sity NatioRal Baak a quitclaim deed to such
vacated subsurface street areas within LyttoR Avenue, RamoRa Street aRd
Lane 13 West withia 30 days after ~eco~datioa of this resolution.
